1. RIGHT TO SELL

The Consignor hereby grants to the Consignee, Modern Classics by Vintage Motors (Pty) Ltd, the exclusive right to display and sell the Consigned vehicle described below (the "Consigned Vehicle") according to the terms and conditions of this Agreement.

3. CONSIGNMENT FEE

Modern Classics by Vintage Motors (Pty) Ltd charges a once-off marketing fee of R1 500.00, which includes travel, photos, videos and marketing on various platforms locally and internationally for the Consigned Vehicle. Additionally, a consignment fee of 15% of the agreed-upon selling price will be deducted from the amount paid by the buyer for the vehicle.

4. VEHICLE CONDITIONS

The Consignor represents that to the best of their knowledge, the Consigned Vehicle is in good condition and has not been involved in a total loss accident or undergone major repairs or alterations. The Consignor further acknowledges the condition of the vehicle by signing annexure “A” to the agreement (this only applies to vehicles that are left in the possession of the Consignee).

5. LIABILITY AFTER SALE

After the sale of the Consigned Vehicle, Modern Classics by Vintage Motors (Pty) Ltd shall not be held liable for any damages, accidents, or incidents that occur. The buyer assumes all responsibility and liability for the vehicle from the moment of sale.

6. DISCLOSURE OF VEHICLE INFORMATION

Modern Classics by Vintage Motors (Pty) Ltd and all its affiliates will disclose all known information about the Consigned Vehicle to potential buyers to the best of their knowledge. However, they cannot guarantee the accuracy or completeness of the information and encourage buyers to conduct their own inspections and investigations.

7. INSURANCE

The Consignor shall maintain insurance coverage for the Consigned Vehicle until the proceeds of the sale are fully received.

8. LIABILITY AND INSURANCE

8.1 The Consignee agrees to exercise reasonable care in handling, storing, and displaying the vehicle but shall not be held liable for any loss, theft, damage, or destruction of the vehicle, except in cases of wilful misconduct or gross negligence.

8.2 The Consignee shall not be held liable for any damages or loss incurred to the vehicle while under their care and control for the period of this Agreement. The Consignor acknowledges and agrees that they shall bear all risks associated with the vehicle.

8.3 It is strongly recommended that the Consignor obtain adequate insurance coverage for the vehicle while they are in the possession of Modern Classics by Vintage Motors (Pty) Ltd. The Consignee may provide assistance and information regarding suitable insurance options upon

request.

9. OWNERSHIP AND LIENS

The Consignor represents that they are the rightful owner of or have full rights to sell the Consigned Vehicle and that it is free from any liens or encumbrances.

10. EXPENSES

Any expenses incurred in the process of preparing the Consigned Vehicle for sale, including repairs, refurbishments, and valeting, shall be borne by the Consignor.

11. TERM AND TERMINATION

11.1 This Agreement shall begin on the date entered at the end of this agreement and shall continue until the Consigned Vehicle is sold or until either party terminates the Agreement by providing written notice to the other party.

11.2 Either Party may terminate this Agreement with a written notice of 30 days to the other Party. Upon termination, the Consignee shall return any unsold vehicle to the Consignor within 7 days, and the Consignor shall collect them at their own expense.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising out of or relating to this Agreement shall be dealt with in accordance with the relevant laws of South Africa.
